Wholesale Buyer Agreement

1. Buyer Eligibility
To be approved as a Starlight buyer, you must be a legally registered business with a current resale certificate, EIN, or equivalent foreign tax registration. Sole proprietors must provide a business license. Starlight reserves the right to verify, request additional documents, or decline any application at its sole discretion.
2. Account & Pricing Confidentiality
Pricing, MOQ, and stock-level information disclosed inside the catalog or in quotes is confidential and intended solely for the named buyer. Buyer agrees not to redistribute screenshots, price lists, or quote documents to third parties. Sharing login credentials is prohibited.
3. Inventory Nature
Starlight specializes in overstock, customer-return, salvage, and closeout merchandise. Condition is described per SKU. Buyer acknowledges that closeout inventory may include shelf-pulled packaging, mixed manufacture dates, or items withdrawn from primary retail. All such inventory is sold AS-IS.
4. Minimum Order Quantities
Each SKU carries a stated MOQ. Mixed-SKU pallets and split-case orders are not available unless explicitly offered. Quote requests below MOQ will be declined.
5. Brand & Channel Restrictions
Certain SKUs carry brand-imposed channel restrictions, including but not limited to: prohibition on resale on Amazon, eBay, Walmart Marketplace, or other named US online platforms; geographic export-only restrictions; and prohibition on advertising the brand name in resale listings. Restrictions, where applicable, are disclosed at quote time. Buyer agrees to honor them; violations may result in immediate account termination and chargeback liability.
6. Repackaging & Refurbishment
Buyer may not repackage or rebrand items in a way that misrepresents the manufacturer, country of origin, or warranty status. Refurbished or repaired units must be clearly disclosed as such to downstream buyers.
7. Compliance
Buyer is solely responsible for compliance with all applicable laws in the destination market, including consumer-safety, labeling, customs, and tax laws. Buyer indemnifies Starlight against any claim arising from Buyer's downstream resale, marketing, or use of the goods.
8. Quote & Order Process
(a) Buyer submits a quote request through the catalog or sales team. (b) Starlight responds with a written quote including pricing, MOQ, condition, and any restrictions. (c) Buyer accepts in writing and remits deposit or full payment. (d) Starlight schedules pickup or freight. Title passes upon full payment and tender to the carrier.
9. Cancellation
Confirmed orders cannot be canceled once payment is received and the order is staged for shipment. Deposits are non-refundable on confirmed orders.
10. Account Termination
Starlight may suspend or terminate a buyer account at any time for: violation of brand or channel restrictions, late payment, chargebacks, fraudulent representations, or breach of the Terms of Sale. Termination does not relieve Buyer of payment obligations on outstanding orders.
11. Incorporation
This Agreement incorporates the Terms of Sale and Privacy Policy by reference. In the event of conflict, the more specific provision controls.
