Terms of Sale

1. Scope
These Terms of Sale govern all transactions between Starlight Distributors LLC ("Starlight," "we") and the purchasing business ("Buyer"). By placing an order or accepting a quote, Buyer agrees to these terms in full. These terms supersede any conflicting language on Buyer purchase orders.
2. B2B Only
Starlight sells exclusively to verified businesses, resellers, exporters, and licensed liquidators. We do not sell to consumers. Buyer represents that goods are purchased for resale or commercial use and not for personal consumption.
3. Quotes & Orders
All pricing is quoted in USD and is valid for 72 hours unless otherwise stated. Inventory is subject to prior sale; quotes do not reserve stock. Orders are confirmed only upon Starlight's written acceptance and receipt of deposit or full payment per the quote.
4. Minimum Order Quantities
Each SKU carries a Minimum Order Quantity (MOQ) shown on the product listing. Orders below MOQ will not be accepted. Starlight reserves the right to revise MOQ and pricing without notice on un-quoted inventory.
5. Payment
Accepted payment methods: wire transfer, ACH, and approved trade credit. Net terms are available to qualified buyers following a credit review. Title and risk of loss transfer to Buyer upon full payment and tender of goods to the carrier.
6. Shipping & Inspection
All sales are FOB Miami, FL unless otherwise agreed in writing. Buyer is responsible for freight, insurance, duties, and export documentation. Buyer must inspect goods within 5 business days of receipt and notify Starlight in writing of any discrepancy. Claims made after this period are waived.
7. Condition & Returns
Closeout, overstock, and salvage inventory is sold AS-IS, WHERE-IS with no implied warranty of merchantability or fitness for any particular purpose, except as expressly stated in the quote. Condition grades (e.g., new, customer return, salvage) are described on the listing. Returns are not accepted except for documented mis-shipments.
8. Resale Restrictions
Buyer agrees not to remarket branded merchandise on platforms or in territories restricted by the original brand owner. Buyer assumes all liability for compliance with applicable trademark, customs, and consumer-protection laws in the territory of resale.
9. Limitation of Liability
Starlight's total liability on any order is limited to the purchase price of the goods sold under that order. Starlight is not liable for lost profits, lost sales, or any indirect, incidental, or consequential damages.
10. Governing Law
These terms are governed by the laws of the State of Florida, USA. Any dispute will be resolved in the state or federal courts located in Miami-Dade County, Florida.
